The U.S. Securities and Exchange Commission (SEC) has expanded structured insider reporting requirements to include directors and officers of foreign private issuers (FPIs) listed in U.S. markets. This change implements the Holding Foreign Insiders Accountable Act and extends electronic reporting obligations that previously applied mainly to insiders of U.S. domestic issuers.

Key Updates

  1. Directors and officers of foreign private issuers will now be required to file insider ownership reports using SEC Forms 3, 4, and 5.
  2. These filings must be submitted electronically through the EDGAR system in structured XML format.
  3. The rule aligns disclosure obligations for FPIs with those already applicable to insiders of U.S. public companies.
  4. The updated requirement is scheduled to take effect on March 18, 2026.
  5. The change is expected to expand the volume of structured insider ownership data available to regulators and investors.
