SEC Extends Compliance Deadlines for Investment Company Names Rule Amendments

17 March 2025
The Securities and Exchange Commission (SEC) has announced a six-month extension for compliance with amendments to the Investment Company Act “Names Rule”, initially adopted in September 2023. The rule aims to prevent misleading fund names that may misrepresent a fund’s investments and risks. Under the revised timeline: Balancing Investor Protection and Implementation NeedsThe SEC stated that the extended compliance dates will allow funds additional time to fully implement the amendments, finalize compliance systems, and test their regulatory frameworks. The extension also aims to minimize additional costs by aligning compliance deadlines with annual disclosure and reporting obligations based on the end of a fund’s fiscal year. This move reflects the SEC’s commitment to ensuring that funds meet the Names Rule requirements effectively, while also supporting a smoother transition for fund managers and investors.
