SEC Extends Compliance Deadlines for Form N-PORT Amendments

The U.S. Securities and Exchange Commission (SEC) has announced a two-year extension to the compliance deadlines for amendments to Form N-PORT adopted in August 2024. These amendments require registered investment funds to report portfolio-related information to the SEC and the public more frequently.

Updated Compliance Timeline:

  • Larger fund groups: Extended from November 17, 2025 to November 17, 2027

  • Smaller fund groups: Extended from May 18, 2026 to May 18, 2028

The extension follows a Presidential Memorandum directing the SEC to re-evaluate the rule changes. It will allow time for a thorough review of the amendments and the potential introduction of further updates or revisions to Form N-PORT.

This move is intended to provide regulatory certainty and reduce immediate compliance pressures for investment fund managers, while maintaining the long-term goals of transparency and accountability in financial reporting.
