SEC (USA) XBRL Compliance
One of the most significant recent developments is the tightening of EDGAR validation rules, particularly around cover page data, calculation consistency, and alignment between rendered disclosures and tagged data. Filers are seeing increased rejections for issues that previously resulted only in warnings.
Annual SEC taxonomy releases may introduce new elements, modify existing definitions, or deprecate older tags. Even experienced filers must reassess tagging decisions each cycle to ensure the correct taxonomy version is applied and extensions remain appropriate.
The SEC evaluates XBRL quality by assessing consistency, accuracy, and comparability of tagged data against the human-readable filing. Misalignment between disclosures and structured data, excessive extensions, or inconsistent dimensional usage are common review focus areas.
SEC XBRL requirements apply to a wide range of filers, including:
- Large Accelerated Filers
- Accelerated Filers
- Non-Accelerated Filers
- Smaller Reporting Companies(SRCs)
- Emerging Growth Companies (EGCs)
- Foreign Private Issuers (FPIs)
Each filer type must comply with iXBRL requirements applicable to their filing obligations.
Commonly tagged forms include:
- Forms 10-K and 10-Q(annual and quarterly reports)
- Form 8-K(current reports, including cover page tagging)
- Forms 20-F and 6-K (foreign private issuers)
- Registration statements such as S-1, F-1, and related amendments
Cover page data tagging is required across most of these forms.
Foreign private issuers filing Forms 20-F and 6-K must comply with iXBRL requirements using the applicable IFRS or U.S. GAAP taxonomy. EDGAR validation rules, taxonomy updates, and data quality expectations apply equally to FPIs and domestic filers.
Rejections are commonly caused by outdated taxonomy usage, calculation inconsistencies, incorrect cover page tagging, improper dimensional relationships, and mismatches between HTML presentation and iXBRL tags.
